Organisation licence terms FUTURE OFFERING — NOT AVAILABLE AT INITIAL LAUNCH Before an organisation orders Your written order must agree the installations covered, licence dates, price, payment and support arrangements. Organisation access is separate from an individual Apple subscription. Contact IDCP before replacing a licensed iPad: an offline licence cannot be assumed to transfer or be immediately revoked. The distribution route and contract defaults below remain subject to final approval. Parties and contract formation IDCP Scotland Limited, registered in Scotland (SC666120), 77 Torrisdale Street, Glasgow, Scotland, G42 8PW. Contact [mailto:Support@idcpscotland.co.uk] Support@idcpscotland.co.uk. These draft terms are intended for an organisation purchasing for its professional activities. An organisation contract is formed only when authorised representatives accept a written order incorporating the applicable dated terms. An enquiry, quote request or website visit does not create a contract or issue a licence. The order must identify the customer, device allowance, term, fees, taxes, payment arrangements, supported configuration and authorised signatories. The signed order takes priority on its stated commercial particulars and expressly agreed variations, followed by these organisation terms and the incorporated product-use/support terms. Apple’s applicable distribution and usage rules and mandatory law remain applicable. Customer purchase-order boilerplate does not override agreed terms unless IDCP expressly accepts it. Licence scope IDCP grants the customer a non-exclusive, limited right to use the released Peekaboo Vision app for the agreed professional purpose on the permitted number of authorised iPad installations during the paid licence term. This does not transfer ownership of the software or intellectual property. Only authorised health professionals may operate the app in Great Britain using the supported configuration and instructions. There is no right to resell, sublicense, distribute a signing key or exceed the device allowance. These terms do not themselves authorise an alternative payment or activation method under Apple’s rules. IDCP must confirm the applicable permitted distribution arrangement before supplying this route. Term, fees and renewal Fees, currency, applicable taxes, payment due date, start and expiry are specified in the accepted order. Payment is always required before activation, including activation of a renewed term. Organisation licences renew automatically for the renewal periods specified in the accepted order unless cancelled under its stated procedure. Before acceptance, the order must state the initial and renewal periods, renewal date, renewal price or agreed calculation, payment method, and cancellation method and deadline. The customer receives a saveable copy. Renewal requires payment and issue/import of a valid renewed grant; automatic billing does not itself refresh an offline device. There is no unlimited-device entitlement or implied free extension. Changes to device count, term, scope or price require written agreement. The individual Apple prices are not the organisation contract price. We do not change an existing agreed price retrospectively. Issue, installation and replacement Licence grants are signed and bound to an installation identifier. The customer must supply accurate organisation, contact and installation details and identify an administrator. Protect licence files and do not copy them to another installation. Keep an authoritative device/seat allocation with IDCP and notify us when an installation is lost, retired or replaced. Replacement and reissue are assessed against the contracted device count. Offline signed grants cannot be assumed to be immediately revocable. A replacement is issued only when the old grant has expired or IDCP has documented adequate decommissioning/revocation controls under the accepted procedure. Instant seat reassignment or simultaneous replacement access is not promised. Any approved overlap or additional charge must be agreed in writing before issue. Expiry and clinical continuity New assessments require a valid unexpired grant. Offline use ends at the earlier of the signed renewal/expiry date or 30 days after the last successful online licence check. Even an annual licence requires successful online verification at least every 30 days. Reconnect before that limit, arrange renewal in time and import the renewed licence where required. This is not a grace period after expiry. Expiry must not interrupt an assessment already started; follow the released instructions for that session. The customer must maintain an appropriate clinical alternative for unavailable or unreliable app access. Customer and IDCP responsibilities The customer supplies and maintains compatible iPads, authorised users, appropriate training and assessment conditions. It is responsible for its separate clinical records, access permissions and decisions made by its professionals. IDCP remains responsible for its applicable software, support and manufacturer obligations. The output is an estimated acuity value for interpretation; it does not diagnose disease or automatically decide referral. IDCP will supply the agreed licence grant and take reasonable care and skill in its services. The order and released product information identify the supported version and configuration. No accuracy, clinical-outcome or device-compatibility promise is created beyond accepted product evidence and mandatory law. Support and updates The support and complaints policy applies unless the order expressly agrees additional cover. No guaranteed response/resolution time or 24-hour cover is implied. Necessary updates, compatibility limits and planned withdrawal notices follow that policy and applicable safety duties. Subscription/grant expiry is separate from the manufacturer’s continuing safety obligations. Confidentiality and personal information Each party must protect the other’s confidential non-public information, restrict it to personnel and service providers who need it for the contract, and use it only for the agreed purpose. This does not restrict information already lawfully public, independently developed, lawfully received or required to be disclosed by law. Give reasonable notice of a compelled disclosure where permitted. IDCP handles licence/contact/support records as described in the app privacy notice. Do not send patient records for routine support. The customer remains responsible for clinical records held in its own systems. If an additional service would involve IDCP processing patient or other personal data on the customer’s instructions, define the roles and agree any required processing terms before that service begins. Suspension, breach and termination A licence ends at its agreed expiry unless renewed. Either party may terminate for a material breach that remains uncorrected after written notice and a reasonable opportunity to remedy it, where remedy is possible. Immediate protective restrictions may be needed for a serious safety/security issue or unlawful use; explain the reason and reasonable mitigation where practicable. IDCP does not promise remote disabling of an offline grant. Termination requires the customer to cease unauthorised use and cooperate with licence retirement under the actual technical controls. Necessary safety, privacy, confidentiality, payment and existing-claim obligations survive termination. Remedies and prepaid fees Report a supply or software fault promptly and allow a reasonable opportunity to investigate and provide an appropriate remedy. If IDCP cannot supply the contracted access or remedy a material failure within a reasonable time, available remedies include ending the affected order and returning the appropriate prepaid unused charges where required by the contract or law. Cancelling future renewal does not itself refund the current paid period. Any additional discretionary change-of-mind refund must be agreed in the order. This does not exclude mandatory remedies or rights arising from IDCP’s breach. Liability Nothing in these terms excludes or restricts liability that cannot lawfully be excluded or restricted, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Mandatory rights and remedies, including applicable consumer rights for digital content and services, are preserved. The parties’ liability for other losses is governed by the accepted order and applicable law. Any financial liability cap or exclusion of particular business losses must be expressly stated in the accepted order and be lawful and reasonable. This draft webpage imposes no numerical liability cap. Professional judgement, customer hardware responsibilities and service interruptions do not waive IDCP’s mandatory duties. Changes, notices and disputes Future website changes do not silently amend an existing organisation contract. Variations require written agreement by authorised representatives, except where a change is required by mandatory law and applied accordingly. Contract notices use the notice contacts specified in the accepted order. Neither party may transfer the contract without the other’s written agreement except as permitted by the accepted order and law. Scots law applies and the Scottish courts have non-exclusive jurisdiction. Try to resolve a dispute through the contract contacts without losing available legal remedies. If one clause is invalid, the remaining valid provisions continue so far as legally possible.
